(“Charity Exchange“, “we”, “our” or “us”) making the Site available to you, you agree to comply with these Terms of Use, as amended from time to time. If you do not agree, do not use the Site. These Terms of Use should be read in conjunction with our Privacy Policy, and our Donation Terms of Understanding, all of which are incorporated herein by reference.

Changes 

We may modify these Terms of Use at any time, in our sole discretion. If we do so, we’ll let you know either by posting the modified Terms of Use on our Site, or through other communications. If you continue to use our Site after we’ve let you know that the Terms of Use have been modified, you are indicating to us that you agree to be bound by the modified Terms of Use. 

 

How the Site operates

The Site operates as a technology platform that allows individuals and corporations to donate to charities. The Site functions as an administrative platform only. Charity Exchange is not a broker, agent, financial institution or creditor. 

All information and content provided by Charity Exchange relating to the Site is for informational purposes only, and we do not guarantee the accuracy, completeness, timeliness or reliability of any such information or content. No content is intended to provide financial, legal, tax or other professional advice. Before making any decisions regarding any charities or donations or any information or content relating to the Site, you should consult your financial, legal, tax or other professional advisor as appropriate. You acknowledge that all information and content accessed by you using the Site is at your own risk.

We have no control over the conduct of, or any information provided by, other users and hereby disclaim all liability in this regard to the fullest extent permitted by applicable law. We do not endorse any charity, cause, campaign or user and we make no guarantee, express or implied, that any information provided through the Site is accurate. All users and donors must make the final determination as to the value and appropriateness of contributing to any charity, cause or other campaign.

The existence of the Site is not a solicitation of donations by Charity Exchange, and we do not engage in any solicitation activities, or consult on the solicitation of contributions from the public, on behalf of any individual, entity, or organization.

Rules of conduct

If you use any part of the Site requiring secure access, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password.

You agree that you will not:

• Upload or transmit any communications or content of any type that may infringe or violate any rights of any party.
• Use this Site for any purpose in violation of local, federal, provincial, national or international laws.
• Use this Site as a means to distribute advertising or other unsolicited material to any third party.
• Use this Site to post or transmit material that is unlawful, obscene, defamatory, threatening, harassing, abusive, slanderous, hateful or embarrassing to any other person or entity.
• Attempt to disable, “hack” or otherwise interfere with the proper functioning of this Site.
• You will not use the Site for any unauthorized purpose including collecting usernames and/or email addresses of other users by electronic or other means for the purpose of sending unsolicited email or other electronic communications, or engaging in unauthorized framing of, or linking to, the Site without our express written consent
• You will not impersonate any other person or entity, sell or let others use your profile or password, provide false or misleading identification or address information, or invade the privacy, or violate the personal or proprietary right, of any person or entity

We may (in our sole discretion) suspend/terminate your access to or use of the Site without notification for any violation of these Terms of Use, or for other conduct that we deem harmful/unlawful to others. Unauthorized use of our trademarks is strictly prohibited. All other trademarks, titles, content, company names, artwork, logos and associated imagery are trademarks and/or copyright material of their respective owners. Nothing in these Terms of Use should be construed as granting you any right to use any trademark, service mark, logo, or trade name of Charity Exchange or any third party. 

You are authorized to view, download and print portions of the Site solely for your personal and non-commercial use or as we otherwise permit.  Any other use of materials on this Site, including: (1) reproduction, except as authorized herein; (2) modifications; (3) distributions; (4) republication; (5) transmission; (6) re-transmissions; (7) or public showing, without our prior written permission, is strictly prohibited.

You may not remove or obscure the copyright notice or other notices contained in information or products retrieved from this Site. 

Idea submission statement

To the extent permitted by applicable law, any ideas, proposals, feedback, comments or other information submitted on this Site shall be considered non-confidential.
